The Website Is Informational
The Website is an informational and marketing resource describing the Company and the professional services we offer, including software development, website development, search and growth services, and ongoing support. Content on the Website, including case studies, portfolio pieces, articles, pricing indications, estimates, timelines, and performance figures, is provided for general information only. Nothing on the Website creates a client relationship between you and the Company. Any engagement for our professional services is governed exclusively by a separate written agreement, such as a proposal, statement of work, master services agreement, or retainer agreement, signed or otherwise accepted by both parties. In the event of any conflict between these Terms and such a signed agreement, the signed agreement controls with respect to that engagement.
Submitting an inquiry, requesting a quote, booking a call, or otherwise contacting Us through the Website does not obligate either party to enter into an engagement, and does not obligate Us to provide any service.

The Company has no control over, and assumes no responsibility for, the content, terms, privacy policies, or practices of any Third-Party Services. We strongly advise you to read the terms and privacy policies of any Third-Party Services you use.

We respect the intellectual property rights of others. If you believe that material available on the Service infringes your copyright, please send a written notice to info@metriqz.com that includes: a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; identification of the copyrighted work claimed to have been infringed; identification of the material you claim is infringing, with enough detail for Us to locate it; your contact information; a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and a statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on the copyright owner’s behalf.
We will review properly submitted notices and may remove or disable access to the material in question.
Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.
“AS IS” and “AS AVAILABLE” Disclaimer
The Service is provided to you “AS IS” and “AS AVAILABLE”, with all faults and defects and without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing, course of performance, usage, or trade practice.
Without limiting the foregoing, the Company makes no representation or warranty of any kind, express or implied, that the Service will meet your requirements, achieve any intended results, be compatible or work with any other software, application, system, or service, operate without interruption, meet any performance or reliability standard, or be error free; that any errors or defects can or will be corrected; that any information or Content is accurate, reliable, complete, or current; or that the Service, its servers, the Content, or emails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs, or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on a consumer’s applicable statutory rights, so some or all of the above exclusions and limitations may not apply to you. In that case, the exclusions and limitations in this section will apply to the greatest extent enforceable under applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law, and notwithstanding any damages that you might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms, and your exclusive remedy for all of the foregoing, is limited to the greater of the amount you have actually paid to the Company through the Service or 100 USD.
To the maximum extent permitted by applicable law, in no event will the Company or its suppliers be liable for any special, incidental, indirect, punitive, or consequential damages whatsoever, including damages for lost profits, lost revenue, lost business opportunity, loss of data or other information, business interruption, personal injury, or loss of privacy, arising out of or in any way related to the use of or inability to use the Service, any Third-Party Services, or otherwise in connection with any provision of these Terms, even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages, which means some of the above limitations may not apply. In those states, each party’s liability will be limited to the greatest extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its Affiliates, and their respective officers, members, managers, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, your misuse of the Service, your Submissions, or your violation of any law or the rights of a third party.
Governing Law
The laws of the State of New York, excluding its conflict of law rules, govern these Terms and your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Dispute Resolution
Informal Resolution First
If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting Us at info@metriqz.com and giving Us at least 30 days to address it. Most concerns can be resolved this way.
Venue
If a dispute cannot be resolved informally, you and the Company agree that any lawsuit arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Albany County, New York, and you consent to the personal jurisdiction of those courts. This provision does not deprive you of any protection afforded by mandatory provisions of the law of your country of residence.
For European Union (EU) Users
If you are a consumer resident in the European Union, you benefit from any mandatory provisions of the law of the country in which you reside, and nothing in these Terms limits those rights.
United States Legal Compliance
You represent and warrant that you are not located in a country that is subject to a United States government embargo or that has been designated by the United States government as a terrorist supporting country, and that you are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver
Except as provided in these Terms, a failure to exercise a right or to require performance of an obligation under these Terms does not affect a party’s ability to exercise that right or require that performance at any time thereafter, and a waiver of a breach does not constitute a waiver of any subsequent breach.
Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
Translation Interpretation
These Terms may have been translated if We have made them available to you in more than one language through the Service. You agree that the original English text prevails in the case of a dispute.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service, and supersede any prior agreements or understandings regarding the Service. Any engagement for professional services remains governed by the separate written agreement covering that engagement.
Changes to These Terms and Conditions
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice before the new terms take effect. What constitutes a material change is determined at our sole discretion.
By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Website and the Service.
